5. Client Responsibilities

To ensure a successful engagement, you agree to:

  • Provide accurate and complete information about your business when requested
  • Respond to communications within 3 business days to maintain engagement momentum
  • Complete any intake forms, assessments, or preparatory work prior to scheduled sessions
  • Implement agreed-upon action items between sessions to the best of your ability
  • Notify us promptly if your business circumstances change materially during an engagement

CREE Consulting's ability to deliver value depends on your active participation. Delays caused by client unresponsiveness do not entitle clients to refunds or extended timelines.

6. Confidentiality

CREE Consulting treats all client information — including financials, business strategies, and sensitive operational details — as strictly confidential. We will not share your information with third parties except as required to deliver services (e.g., scheduling software) or as required by law.

Likewise, clients agree to keep any proprietary CREE Consulting methodologies, frameworks (including CORE™), templates, and materials confidential and not to share or reproduce them without written permission.

7. Intellectual Property

Deliverables produced specifically for you during an engagement (such as your business roadmap, customized SOPs, or capability statement) are yours to use for your business purposes upon full payment.

The underlying frameworks, methodologies, tools, templates, and intellectual property of CREE Consulting — including the CORE™ Framework — remain the exclusive property of CREE Consulting LLC. Client use of CREE Consulting materials is licensed for internal business use only and may not be resold, sublicensed, or used to provide consulting services to others.

8. No Guarantee of Results

CREE Consulting provides strategic business guidance based on professional experience, best practices, and the information you provide. We do not and cannot guarantee specific business outcomes including but not limited to: revenue growth, profitability, contract awards, certification approvals, or any other metric.

Results depend on many factors including market conditions, client implementation, business fundamentals, and decisions made by third parties (such as government contracting officers). Our role is to give you the best possible framework, strategy, and guidance — execution is yours.

9. Not a Substitute for Professional Advice

CREE Consulting's services are business management and operational consulting only. Our guidance does not constitute and should not be relied upon as legal advice, accounting services, tax advice, or regulated financial advice. Always consult licensed professionals for matters requiring those credentials.

10. Limitation of Liability

CREE Consulting's total liability to any client arising from a paid engagement shall not exceed the total fees paid by that client in the 90 days preceding the claim. We are not liable for indirect, consequential, incidental, or punitive damages of any kind.

11. Governing Law

This Agreement is governed by the laws of the Commonwealth of Virginia. Any disputes not resolved through good-faith negotiation shall be submitted to binding arbitration in Alexandria, Virginia.

12. Entire Agreement

These Terms & Conditions, together with any applicable proposal, invoice, or Statement of Work, constitute the entire agreement between the parties. They supersede all prior communications or understandings regarding the same subject matter. Any modifications must be made in writing and agreed upon by both parties.
